ZoomInfo Announces Secondary Offering of Shares of Class A Common Stock

VANCOUVER, Wash.–(BUSINESS WIRE)–ZoomInfo Technologies Inc. (“ZoomInfo”) today announced that certain selling stockholders of ZoomInfo, including investment funds affiliated with The Carlyle Group (“Carlyle”), 22C Capital LLC (“22C Capital”) and TA Associates (together with Carlyle and 22C Capital, the “Selling Stockholders”) have commenced an underwritten public offering of 12,000,000 shares of ZoomInfo’s Class A common stock pursuant to a registration statement filed with the Securities and Exchange Commission. Additionally, the Selling Stockholders intend to grant the underwriters a 30-day option to purchase up to an additional 1,800,000 shares of ZoomInfo’s Class A common stock.

ZoomInfo is not selling any shares of Class A common stock in the offering, will not receive any of the proceeds from the sale and will bear the costs associated with the sale of such shares, other than the underwriting discounts.

J.P. Morgan and Morgan Stanley are acting as the joint lead book-running managers for the offering and Barclays and Credit Suisse are also acting as joint book-running managers of the offering.
